Terms of Service

1. Who we are and what these Terms cover
PunchList: Check Site (the "Service") is a web admin and a mobile app for recording construction defects on drawings. It is provided by Placeholder Name, trading as Base Rock Apps, Placeholder Address ("we", "us"). These Terms are an agreement between us and the company or person that creates an account (the "Customer"). By creating an account or using the Service you accept these Terms. If you accept them on behalf of a company, you confirm you may bind it.
2. Accounts and team members
- The person who signs the company up is its owner. The owner invites managers, auditors and foremen.
- The Customer is responsible for its users, for keeping passwords and devices secure, and for everything done under its account. Tell us at once at support@punchlistcheck.com if you suspect unauthorised access.
- You must give accurate information and be old enough to enter a binding contract.
3. Subscription, trial and payment
- The Service is sold by subscription per company. Plans, limits and prices are listed on the pricing page; prices include applicable taxes.
- Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record: it processes payments, issues invoices and handles taxes, and your purchase is also governed by Paddle's Buyer Terms.
- New subscriptions start with a 14-day free trial. A card is required at checkout and is charged when the trial ends unless you cancel before that. We email a reminder a few days before the first charge and before each renewal.
- Subscriptions renew automatically at the end of each billing period (1, 6 or 12 months) until canceled. You can change the plan, add seats or storage, or cancel in the web admin (Billing). A cancellation takes effect at the end of the current period.
- Plan and add-on changes are prorated and billed at once (not during the trial). A downgrade is allowed only if current usage fits the new plan.
- We may change prices with at least 30 days' notice by email; the new price applies from the next renewal.
4. Failed payments and read-only access
If a payment fails, the subscription is paused or it ends, the company becomes read-only: users can see and export existing data but cannot create new work (each foreman may still send one plan already in progress). Full access returns when payment succeeds or a new subscription starts.
5. Refunds
Payments are non-refundable except as described in our Refund Policy and where the law requires otherwise.
6. Your content
- Drawings, plans, photos, comments and other data you upload ("Customer Content") remain yours. You give us the right to store, process and display it only to provide the Service to you.
- You are responsible for having the right to upload Customer Content and for its accuracy. Do not upload unlawful content or content you have no right to share.
- Personal data in Customer Content is processed as described in our Privacy Policy; for it the Customer is the controller and we are its processor.
7. Acceptable use and content rules
Do not misuse the Service: no attempts to break security or limits, reverse-engineer it, overload it, resell it without our consent, or use it to break the law. We may suspend access that puts the Service or other customers at risk; we will tell you why unless the law forbids it.
- Upload work content only: drawings, photos of the site and its defects, and notes about them. Not allowed in photos, drawings or text: sexual content, violence or threats, drugs, crime, hate or insults, and anything unlawful.
- The Customer is responsible for the content its users upload and for acting on it. Every user accepts these rules in the app and the web admin; anyone in the company can report a plan or a photo, and the owner and managers can delete them and deactivate users.
- Reports go to the company owner with a copy to us. We may remove content that is clearly unlawful or breaks these rules, suspend the access involved, and pass information to the authorities where the law requires it. You can also report content to us at the address in section 12.
8. Ending the agreement and deleting data
- After a subscription ends, the company stays read-only and its data is kept for 30 days, then permanently deleted. We email a warning before that. A company that never subscribes is deleted 30 days after signup.
- The owner can delete the company in the web admin at any time. The subscription is canceled at once without a refund (except under the Refund Policy), and all data is permanently deleted 7 days later; the owner can undo it until then.
- Any member except the owner can delete their own account; see Delete account.
- Export what you need before deletion: deleted data cannot be recovered.
9. Availability and changes
We work to keep the Service available and your data safe, but we do not guarantee it will be uninterrupted or error-free. We may improve and change the Service; we will give reasonable notice of changes that materially reduce it.
10. Liability
The Service is provided "as is". The Service helps record defects; it does not replace professional inspection or judgement. To the extent the law allows, we are not liable for indirect or consequential loss, lost profits or lost data, and our total liability for any claim is limited to the amounts the Customer paid for the Service in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
11. Changes to these Terms
We may update these Terms. We will email the owner at least 30 days before material changes take effect; continuing to use the Service after that means you accept them.
12. Law and contact
These Terms are governed by the laws of Placeholder Jurisdiction, and its courts have jurisdiction, without depriving consumers of the protection of the laws of their country. Questions: support@punchlistcheck.com.
